4. Limited License; Permitted Uses. You are granted a limited, non-exclusive, non-transferable, revocable license (a) to access and use the Site strictly in accordance with this Agreement; (b) to use the Site solely for internal, personal, non-commercial purposes. No print out or electronic version of any part of the Site or its contents may be used by you in any litigation or arbitration matter whatsoever under any circumstances. With the exception of the main search engine bots, the use of data-mining and/or extraction software or bots (or any program construed as such) that is not collecting data for a search engine is strictly forbidden. Any breach of this Agreement shall result in immediate revocation of the license granted in this paragraph without notice to you.

You represent and warrant that if you are purchasing something from us or from Merchants that (i) any credit information you supply is true and complete, (ii) charges incurred by you will be honored by your credit card company, and (iii) you will pay the charges incurred by you at the posted prices, including any applicable taxes.

28. Legal Compliance. You agree to comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of the Site and the Content and Materials provided therein.
29. CA Residents and Wholesale Customers. If you are an approved California wholesale customer, by purchasing merchandise from the Site, you state that you are purchasing for reuse OR hold a valid California seller's permit and the merchandise is being bought for resale and is tax exempt. You further assume all responsibility for any California taxes resulting from the personal use of purchased merchandise.
30. Miscellaneous. This Agreement shall be treated as though it were executed and performed in Riverside, California, and shall be governed by and construed in accordance with the laws of the State of California (without regard to conflict of law principles). Any cause of action by you with respect to the Site (and/or any information, Content and Materials, products or services related thereto) must be instituted within one (1) year after the cause of action arose or be forever waived and barred. All actions shall be subject to the limitations set forth previously. The language in this Agreement shall be interpreted as to its fair meaning and not strictly for or against any party. This Agreement and all incorporated agreements and your information may be assigned by us in our sole discretion to a third party in the event of an acquisition, sale, merger or other transaction. Should any part of this Agreement be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. To the extent that anything in or associated with the Site is in conflict or inconsistent with this Agreement, this Agreement shall take precedence. Our failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision. Our rights under this Agreement shall survive any termination of this Agreement.
31. Applicable Law. The laws of California will govern these disclaimers, terms, and conditions, without giving effect to any principles of conflicts of laws.
32. Arbitration. Any legal controversy or legal claim arising out of or relating to this Agreement or our products or services, excluding legal action taken by us to collect or recover damages for, or obtain any injunction relating to, Site operations, intellectual property, and our product or services, shall be settled solely by binding confidential arbitration in accordance with any set of applicable commercial arbitration rules selected by us. You hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in the state and federal courts of California. Arbitration under this Agreement shall be conducted pursuant to the Commercial Arbitration Rules then prevailing at the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party, whether through class action proceedings or otherwise. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class action proceedings or otherwise. The arbitration shall be conducted in Southern California, and judgment on the arbitration award may be entered into any California court having jurisdiction thereof. The arbitrator’s award shall be final and binding. We may seek any interim or preliminary relief from a court of competent jurisdiction in California necessary to protect our rights or property pending the completion of arbitration.
If you have in any manner violated or threatened to violate our intellectual property rights, we may seek injunctive or other appropriate relief in any state or federal court in the State of California.
33. Severability. If any of these provisions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severed and shall not affect the validity and enforceability of any remaining provisions.
34. Remedies. You agree that our remedy at law for any threatened breach of this Agreement would be inadequate that we shall be entitled to specific performance or injunctive relief, or both, in addition to any damages that we may be legally entitled to recover, together, with reasonable expenses of any form of dispute resolution, including, without limitation, attorneys’ fees. No right or remedy of ours shall be exclusive or any other, including without limitation damages, injunctive relief, attorneys’ fees, and expenses. No instance of waiver by us of our remedies under these terms and conditions shall imply an obligation to grant any similar, future, or other waiver.
35. Termination and Effect of Termination. We may, without prior notice to you, immediately terminate the Agreement and/or revoke all your rights granted under this Agreement. Upon termination, you shall immediately cease use and access of the Site and we shall, in addition to any other legal or equitable remedies, immediately revoke your passwords and account identification and deny access to the Site, in whole or part. Any termination of this Agreement shall not affect the respective rights and obligations (including without limitation payment obligations) of the parties arising before the date of termination.
36. PROPOSITION 65 WARNING: Some products contain chemicals known to the State of California to cause cancer and/or birth defects or other reproductive harm.
In the State of California there exists what is referred to as "Proposition 65". Proposition 65 is the California Safe Drinking Water and Toxic Enforcement Act of 1986. Any company that operates in California, sells products in California, or manufactures products that may be sold in or brought into California is subject to Proposition 65. Since our products are sold in California, Proposition 65 applies to us.
Proposition 65 requires warning labels on any product that may contain any of 600-plus elements that the California Air Resources Board considers a carcinogen or a reproductive toxicant. These elements include lead (contained in the solder used to attach electronic parts to the printed circuit boards), brass, PVC and a multitude of other everyday elements.
Many of the elements listed under Proposition 65 are common everyday items. Many, such as lead, are commonly used in the electronics industry. Other elements are uncommon items and are rarely used in the electronics industry, if used at all. The list of elements keeps changing and is periodically updated. Elements are added to the list, some elements are removed. It is excessively difficult to keep track of the changing list of elements.
There are penalties for not complying with Proposition 65. Failure to label products may result in a civil penalty of $2500 per day. If a company's product is sold or is purchased outside the Sate of California and brought into California, the company may still be found in violation.
Various trade organizations have issued notices to manufacturers warning of Proposition 65 and its implications. Included in the warnings were suggested methods of protection from Proposition 65 litigation and violations. Protection requires warning consumers about the possibility of dangers from products. An informed posting is considered to comply with warning consumers.
The posting does not necessarily indicate our products will cause you to contract cancer or reproductive harm if used as designed.
